3. Restrictions on Use

SALLC reserves the right to charge a fee for access to and/or use of any or all Content. SALLC will require you to register a username, password, email address and payment information including billing address, credit card authorization and other financial information required for proper billing and payment.

You agree, at your own expense, to defend and/or handle any claim or action threatened or brought against SALLC, its affiliates, and/or their respective officers, directors, employees, and/or agents (each, a “Indemnified Party” and collectively, the “Indemnified Parties”) based on or arising out of any claim that the Content, or any portion or use thereof constitutes an infringement, violation, trespass, contravention or breach of any patent, copyright, trademark, license or other property or proprietary right of any third party, or constitutes the unauthorized use or misappropriation of any trade secret of any third party. You further indemnify and hold harmless SALLC Indemnified Parties from and against any and all liabilities, losses, costs, damages and expenses whatsoever (including reasonable attorneys’ fees and expenses) associated with any such claim or action and incurred by the Indemnified Parties.
7. Governing Law
The TOS shall be governed in accordance with the laws of the United States and the Commonwealth of Massachusetts. You agree to submit to the jurisdiction of the state and federal courts located in Boston, Massaachusetts with respect to any and all legal proceeding that arise in connection with the use of the Content or of this site or for any breach of the TOS.
8. Entire Agreement
You agree that the TOS and all other terms and conditions on this site constitute the entire agreement between you and SALLC and govern your use of the Content.
